Bringing a new partner into an LLP — whether an individual joining as an ordinary partner, a co-founder being inducted as a Designated Partner, or an investor seeking profit participation — requires careful legal documentation and timely MCA filing. Under Section 25 of the LLP Act 2008, the admission of a new partner must be documented in the LLP Agreement (or through a Supplementary Agreement) and notified to the Registrar of Companies using Form 4 within 30 days of the admission date. If the admission also results in a change to the LLP Agreement (as is almost always the case — contribution amounts, profit-sharing ratios, and partner roles change), Form 3 must also be filed simultaneously.

A new Designated Partner has an additional requirement: they must hold a DPIN (Designated Partner Identification Number) before their appointment is filed. If the incoming designated partner does not already have a DPIN or DIN, it must be obtained through the MCA portal before Form 4 can be submitted. Partner Appointment Checklist

  • New Designated Partner must obtain a DPIN before appointment (if not already holding DIN/DPIN)
  • Incoming partner must not be a minor, insolvent, or otherwise disqualified from being a partner

⚠️ Every LLP must have at least 2 Designated Partners at all times. If only one Designated Partner is named (e.g. after a restructure), a second must be appointed and Form 4 filed immediately. Failure to maintain the minimum 2 Designated Partners is a compliance violation that attracts daily penalties.

Frequently Asked Questions

Can a body corporate (company or another LLP) become a partner in an LLP?
Yes. Under the LLP Act 2008, a body corporate — including a company, another LLP, or a foreign company — can become a partner in an LLP. However, a body corporate cannot become a Designated Partner. The body corporate must nominate an individual (who holds a DPIN) to act as its nominee Designated Partner — this individual acts in the capacity of Designated Partner on behalf of the body corporate partner. The body corporate's CIN/FCRN must be disclosed in Form 4 and Form 11 filings where applicable.
What is the stamp duty on a Supplementary LLP Agreement?
Stamp duty on a Supplementary LLP Agreement varies by state — it is typically levied on the total contribution amount being introduced by the new partner (or the incremental contribution of existing partners following the restructure). States like Maharashtra, Delhi, and Karnataka have their own stamp duty schedules for LLP Agreements and supplements. Inadequately stamped agreements are legally inadmissible as evidence and attract penalties. Can a Designated Partner be admitted without contributing capital?
Yes. Contribution and Designated Partner status are legally distinct concepts under the LLP Act. A person can be a Designated Partner of an LLP with zero financial contribution — their role is as a responsible partner for compliance and management purposes rather than as a capital contributor. Many professional LLPs designate one partner as a "compliance designated partner" without requiring capital contribution from them. The LLP Agreement should clearly document whether the new Designated Partner is contributing capital and on what terms — even if the contribution is nominal or deferred.
