CS Management Trainee — Practical Training Under ICSI

The CS Management Trainee programme is the structured practical training phase of the Company Secretary course conducted by the Institute of Company Secretaries of India (ICSI). Trainees gain hands-on exposure to corporate secretarial practice, regulatory filings, board governance, and compliance management under the supervision of a qualified Company Secretary. We offer recognised training positions for ICSI students seeking high-quality, real-world secretarial experience.

Secretarial Practice Training

Hands-on training in drafting notices, agendas, resolutions, and minutes for board meetings, AGMs, and EGMs — building proficiency in real compliance workflows.

MCA e-Filing Exposure

Practical training on MCA21 portal filings — including AOC-4, MGT-7, DIR-12, MGT-14, and event-based filings — under the direct supervision of qualified Company Secretaries.

Corporate Law Advisory

Exposure to Companies Act, 2013 advisory work — analysing legal provisions, drafting compliance opinions, and preparing notes on specific corporate law issues for clients.

Secretarial Audit Support

Assisting in the secretarial audit process under Section 204 — reviewing statutory registers, verifying filings, checking compliance timelines, and preparing MR-3 report documentation.

Due Diligence & Transactions

Participation in secretarial due diligence for mergers, acquisitions, and fundraising — reviewing minutes books, statutory registers, and compliance history of target companies.

SEBI & Listing Compliance

Exposure to SEBI LODR compliance for listed company clients — quarterly filings, board composition requirements, related party transaction reporting, and insider trading policies.

What is the CS Management Trainee Programme?

After clearing the CS Executive Programme examination, ICSI students are required to complete 21 months of practical training before appearing in the Professional Programme examination. This training can be undertaken with a company having a whole-time Company Secretary or with a practising Company Secretary firm holding a valid certificate of practice from ICSI.

The Management Trainee phase is designed to bridge the gap between theoretical knowledge of corporate law and real-world compliance practice. Trainees who train under experienced PCS firms gain exposure to a wider variety of industries, transaction types, and regulatory matters compared to in-company training.

What Trainees Learn During the Programme

  • Drafting of board and general meeting notices, agendas, resolutions, and minutes
  • Maintenance of statutory registers — Register of Members, Directors, Charges, and Contracts
  • MCA e-filing for annual returns, event-based filings, and director-related forms
  • Preparation of the Directors' Report and all annexures including Form AOC-2 and MGT-9
  • Secretarial audit fieldwork and preparation of MR-3 audit documentation
  • SEBI compliance filing support for listed company clients
  • Legal drafting — certified board resolutions, certificates, and compliance opinions
  • FEMA and RBI compliance basics for companies with foreign investment or overseas transactions

Frequently Asked Questions

What is the duration of CS Management Trainee practical training?
The practical training for CS Management Trainees is 21 months in duration. Of these 21 months, at least 15 months must be training with a company (under the whole-time Company Secretary) or with a practising Company Secretary firm. The remaining period may be completed under an approved entity as per ICSI guidelines. Trainees must also complete a 15-day Executive Development Programme (EDP) and a 8-day Management Skills Orientation Programme (MSOP) as prescribed by ICSI.
Who is eligible to register as a CS Management Trainee?
A student who has passed the CS Executive Programme examination (both modules) conducted by ICSI is eligible to register as a Management Trainee and commence practical training. Students who have passed the CS Foundation and Executive Programme are also eligible for training registration. ICSI guidelines must be checked for the latest eligibility and registration requirements as they are subject to periodic revision.
What is the stipend payable to a CS Management Trainee?
ICSI prescribes a minimum stipend for management trainees. Trainees placed in companies with paid-up capital of ₹10 crore or more receive a higher minimum stipend compared to those placed in smaller companies or practising CS firms. The actual stipend varies by firm, location, and candidate profile. ICSI revises the minimum stipend periodically and the latest schedule is available on the ICSI training portal. We pay competitive stipends in line with ICSI norms.
How do I register my training with ICSI?
Training must be registered with ICSI within 30 days of commencement through the ICSI online training portal. The principal (company or practising CS firm) must also submit a confirmation of training commencement. Trainees must submit half-yearly progress reports (Form TR-2) and maintain a training diary. On completion of training, the principal issues a training completion certificate which the student submits to ICSI as part of their Professional Programme examination eligibility documentation.
Can a CS Management Trainee appear for the Professional Programme examination during training?
Yes. ICSI permits Management Trainees to appear for the CS Professional Programme examination after completing a specified minimum period of practical training (currently 15 months of training). Trainees should verify the current examination eligibility conditions on the ICSI website, as these norms are subject to amendment. Completing training with a diverse PCS firm can significantly strengthen a candidate's practical knowledge for the Professional Programme examination.
