What information is required to fill Form 11?
Form 11 requires: the LLP's LLPIN (LLP Identification Number), registered office address, date of incorporation, nature of business (NIC code), total number of partners and designated partners as at 31 March, names and DPINs/PAN of all partners, their contribution amounts, dates of appointment and cessation during the year, and details of any body corporate partners. Where the LLP has body corporate partners, their CIN and shareholding details must also be disclosed.
Is professional certification always required for Form 11?
Professional certification (by a practising CA, CS, or CMA) is mandatory for Form 11 when the total partner contribution of the LLP exceeds ₹50 lakh or when the turnover of the LLP exceeds ₹5 crore. For LLPs below these thresholds, Form 11 can be filed and self-certified by a Designated Partner using their DSC, without requiring professional certification. The professional certifies the accuracy of the information in the form.
What happens if the Designated Partner's DSC is not active?
Form 11 must be digitally signed by a Designated Partner with an active DSC registered on the MCA21 portal. If the DSC is expired or the DPIN is deactivated (due to missed DIR-3 KYC), the form cannot be submitted. The DSC must be renewed and DPIN reactivated (by paying the ₹5,000 reactivation fee) before Form 11 can be filed. This is a common cause of delayed Form 11 filings — which then attracts ₹100/day late fees while the DSC issue is resolved.
Can Form 11 be filed for multiple missed years simultaneously?
Yes. Each year's Form 11 must be filed separately — there is no consolidated multi-year form. If an LLP has missed Form 11 for several years, each year's form must be prepared and filed independently on the MCA21 portal, with the corresponding late fees paid for each year. The MCA allows back-filing of overdue forms. However, the total late fee accumulation across multiple years can be substantial — ₹100/day per form, compounding for each year of default.
