Frequently Asked Questions

Does a Foreign LLP need to create a new Indian LLP for Indian operations?
No. A Foreign LLP can directly register its particulars in India and operate through its registered Indian presence — without creating a separate Indian LLP or subsidiary. The FLLP registration creates a legal presence of the existing foreign entity in India, similar to how a foreign company registers a branch in India rather than incorporating a new subsidiary. However, depending on the nature of business and FDI regulations, some Foreign LLPs may find it more advantageous to incorporate a separate Indian LLP or company for operational and tax efficiency reasons.
What is the deadline for FLLP registration after establishing an Indian presence?
A Foreign LLP must register its particulars with the Indian ROC within 30 days of establishing a place of business in India. "Establishing a place of business" includes opening an office, appointing agents, or commencing any business activity in India. Late registration carries penalties under the LLP Act. The 30-day clock starts from the earliest event that constitutes establishment of a place of business — which can sometimes be earlier than the physical office opening date.
