Board Meeting Compliance Under the Companies Act, 2013

A Board Meeting is the formal gathering of a company's Board of Directors for strategic decision-making and governance. The Companies Act, 2013 mandates specific procedures for convening, conducting, and documenting board meetings. We provide comprehensive secretarial support to ensure your board meetings are fully compliant, properly minuted, and procedurally sound.

Board Meeting Notice

Drafting and dispatch of the board meeting notice to all directors at their registered addresses at least 7 days in advance, including the agenda and supporting papers for informed decision-making.

Agenda & Board Papers

Preparation of a comprehensive agenda covering all items proposed for discussion, along with structured board papers, notes, and background documents for each agenda item.

Board Resolutions

Drafting of board resolutions — both ordinary and special — for all decisions taken at the board meeting, reviewed for legal accuracy and compliance with the Companies Act and applicable regulations.

Minutes of Board Meeting

Preparation and maintenance of the minutes of the board meeting in the minutes book within 30 days of the conclusion of the meeting as required under Section 118 of the Companies Act, 2013.

Video Conferencing Compliance

Facilitation of board meetings held through video conferencing or other audio-visual means (OAVM) in compliance with Rule 3 of the Companies (Meetings of Board and its Powers) Rules, 2014.

Circular Resolution Support

Drafting of circular resolutions passed by the Board outside a formal meeting through written consent, for matters permitted under Section 175 of the Companies Act, 2013.

How Many Board Meetings Are Mandatory?

Every company must hold a minimum of 4 board meetings in a calendar year under Section 173 of the Companies Act, 2013. The gap between two consecutive board meetings must not exceed 120 days. Small companies and One Person Companies are required to hold only 2 board meetings per year — one in each half of the calendar year.

Board meetings are the precursor to Extra-Ordinary General Meetings and Annual General Meetings, as the board must first approve the convening of any general meeting and the agenda to be placed before shareholders.

Matters That Must Be Approved at a Board Meeting

  • Approval and adoption of quarterly and annual financial statements
  • Declaration of interim dividend
  • Appointment or resignation of Key Managerial Personnel (KMP) and directors
  • Approval of related party transactions beyond certain thresholds
  • Granting of loans, guarantees, or making investments under Section 186
  • Approval of significant contracts and capital expenditure beyond delegated limits
  • Noting of disclosure of interest by directors under Section 184
  • Authorisation to issue shares, debentures, or other securities

Frequently Asked Questions

What is the minimum notice period for a board meeting?
Under Section 173(3) of the Companies Act, 2013, a minimum of 7 days' written notice is required to be given to every director at their registered address. Notice can be sent by hand delivery, post, or electronic means. In case of urgent business, a board meeting may be called at shorter notice provided at least one independent director (if any) is present, or the decision of the meeting is circulated to all directors and ratified by the required majority.
What is the quorum for a board meeting?
The quorum for a board meeting is one-third of the total strength of the Board (rounded up to the nearest whole number) or 2 directors, whichever is higher. Directors participating through video conferencing or audio-visual means are counted for quorum purposes. If the quorum is not present at any time during the meeting, the meeting is automatically adjourned.
Can a board meeting be held through video conferencing?
Yes. Under Rule 3 of the Companies (Meetings of Board and its Powers) Rules, 2014, the Board may meet through video conferencing or other audio-visual means capable of recording and recognising participation of the directors. However, certain matters — such as the approval of annual financial statements, Board's Report, prospectus, amalgamation, and acquisition — cannot be transacted at a meeting held exclusively through video conferencing and require physical attendance of at least a quorum.
Within how many days must the minutes of a board meeting be prepared?
Under Section 118 of the Companies Act, 2013, the minutes of a board meeting must be prepared and entered in the minutes book within 30 days of the conclusion of the meeting. The minutes must be signed by the Chairperson of the same meeting or the next meeting. Every page of the minutes book must be initialled or signed, and the last page of each meeting's minutes must be dated and signed by the Chairperson.
What is a circular resolution and when can it be used?
A circular resolution is a resolution passed by the Board without holding a formal meeting, by circulating a draft resolution to all directors and obtaining their consent in writing or through electronic mode. Under Section 175 of the Companies Act, 2013, a resolution is valid if approved by a majority of directors entitled to vote, provided no director requests that the matter be decided at a formal meeting. Circular resolutions cannot be passed for the business that is required by the Act to be decided at a board meeting.
